Unlimited Company Formation (To carry on business by sole proprietorship or partnership and register pursuant to the Business Registration Ordinance (Cap.310) )

Hong Kong unlimited company has the following Characteristics.
(i)Apply Business Registration only.
(ii)Every partner is jointly and severally liable for the debts of other partne, except limited partnership with the liability of some partners is limited, but there must be at least one partner whose liability is unlimited.
(iii)Power of management vested with the sole proprietorship or partners.
(iv)Sole proprietor / partners could elect profits tax or personal assessment.
